Introduction

These Terms of Service (“Terms”) constitute a legally binding agreement between Dreamplan.io Aps., a company incorporated under the laws of Denmark, with its registered office at Amelegade 45, Mezzanin 1256 København K (“Dreamplan”, “Wizflow,” “we,” “us,” or “our”), and the individual or entity accessing or using the Services (“Customer,” “you,” or “your”). By accessing or using our Services, you:
  • Acknowledge that you have read and understood these Terms
  • Agree to be bound by these Terms
  • Agree to our Privacy Policy
  • Commit to comply with all applicable laws and regulations
We may revise these Terms at any time by posting updated terms on the Site or providing you with notice. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms.

Definitions

Wizflow’s cloud-based no-code workflow automation platform, AI-assisted features, dashboards, APIs, analytics, documentation, and related services.
The user account created to access the Services.
All data, content, personal data, workflows, configurations, inputs, and outputs submitted to or processed through the Services by or on behalf of Customer.
A no-code workflow, automation, or process configured using the Wizflow platform.
All software, technology, interfaces, models, documentation, and proprietary materials provided by Wizflow.

Scope of Services & Disclaimer of Advice

The Services provide tools to design, deploy, and manage automated workflows and business processes.
Wizflow does not provide legal, financial, regulatory, compliance, or professional advice.Customer is solely responsible for reviewing, validating, and approving all workflows, logic, outputs, and decisions generated using the Services.The Services are not intended to replace human judgment or professional review.

License Grant & Permitted Use

Subject to these Terms and payment of applicable fees, Wizflow grants Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for Customer’s internal business purposes.

Customer shall not:

  • Resell, sublicense, or make the Services available to third parties
  • Reverse engineer or circumvent security measures
  • Use the Services in violation of applicable law or regulations

Accounts & Security

Customer must provide accurate information and safeguard Account credentials. Customer is responsible for all activity occurring under its Account.
Wizflow may suspend or restrict access if it reasonably believes security, legal compliance, or misuse issues exist.

Subscriptions, Fees & Billing

More information to be added around subscription types and credit usage.
  • Fees are billed in advance on a monthly or annual basis
  • Subscriptions automatically renew unless cancelled prior to renewal
  • Fees are non-refundable except where required by law
  • Wizflow may modify pricing upon reasonable notice
Customer is responsible for all applicable taxes.

Data Protection & Processing

Roles

Data Controller

Wizflow acts as Data Controller for Account, billing, and website data

Data Processor

Wizflow acts as Data Processor for Customer Data processed through workflows

Data Processing Agreement

Where Wizflow processes personal data on behalf of Customer, the Wizflow Data Processing Agreement (“DPA”) is incorporated by reference and governs such processing.

Use of Customer Data

Wizflow will process Customer Data solely to:
  • Provide and secure the Services
  • Perform support and maintenance
  • Comply with legal obligations
Wizflow will not use Customer Data for its own purposes except in aggregated and anonymized form that cannot reasonably identify Customer or end users.

Derived & Aggregated Data

Wizflow may generate anonymized and aggregated data derived from use of the Services (“Derived Data”) for analytics, benchmarking, service improvement, and security purposes. Derived Data does not contain personal data.

AI-Assisted Features

The Services may include AI-assisted functionality. Customer acknowledges and agrees that:
  • AI outputs may be inaccurate, incomplete, or unsuitable
  • AI outputs are generated probabilistically
  • All AI outputs must be independently reviewed and validated by Customer
Wizflow disclaims all liability for decisions or actions taken based on AI-generated outputs.

Acceptable Use

Customer shall not use the Services to:
  • Process unlawful or infringing content
  • Violate data protection or privacy laws
  • Circumvent technical or security safeguards
  • Deploy malicious code or harmful automation

Service Availability & SLA Disclaimer

Unless expressly agreed in a written Service Level Agreement (SLA), Wizflow does not guarantee uptime, availability, or performance metrics.
Maintenance, updates, and downtime may occur.

Intellectual Property

Confidentiality

Each party shall protect the other’s confidential information using reasonable safeguards and use it solely to perform under these Terms.

Termination

Need to add more detail about credits upon termination.

Termination for Convenience

Either party may terminate a subscription with 30 days’ written notice, effective at the end of the billing period.

Termination for Cause

Wizflow may immediately suspend or terminate access for material breach, security risk, or legal non-compliance.

Data Access Upon Termination

Upon termination, Customer may export Customer Data within a reasonable period, subject to plan limitations and law.

Export Controls & Sanctions

Customer represents it is not subject to export restrictions or sanctions and will comply with all applicable export control laws.

Warranties & Disclaimers

The Services are provided “as is” and “as available.”Wizflow disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

Limitation of Liability

To the maximum extent permitted by law:
  • Wizflow shall not be liable for indirect, incidental, or consequential damages
  • Wizflow’s total liability shall not exceed the fees paid by Customer in the 12 months preceding the claim
Nothing in these Terms limits liability for fraud, wilful misconduct, or liability that cannot be excluded under law.

Indemnification

Customer shall indemnify Wizflow against claims arising from:
  • Customer Data
  • Customer’s misuse of the Services
  • Violation of law or third-party rights

Publicity

Unless otherwise agreed, Wizflow may identify Customer as a user of the Services using name and logo. Customer may opt out by written notice.

Governing Law & Jurisdiction

These Terms are governed by the laws of [Jurisdiction], excluding conflict-of-law rules. Courts located in [Location] shall have exclusive jurisdiction.

Miscellaneous

These Terms and referenced documents constitute the entire agreement.
Customer may not assign without consent. Wizflow may assign in connection with a merger or sale.
Invalid provisions will not affect remaining terms.
Failure to enforce is not a waiver.
